Vendor Terms

These Terms & Conditions (“Agreement”) govern the relationship between ExcelWA, an initiative of Excel Skills Academy, located in Kolkata, West Bengal, India, and its vendors, suppliers, or partners (“Vendor”). By entering into a business relationship with us, you (“Vendor”) agree to abide by these terms. 1. Definitions Company / We / Us: Refers to ExcelWA (Excel Skills Academy). Vendor / You: Refers to any supplier, contractor, or partner providing products or services to the Company. Services / Deliverables: The goods, software, or services provided by Vendor under this Agreement. 2. Vendor Eligibility Vendor must be a legally registered business or authorized individual with valid licenses. Vendor must comply with applicable laws, tax regulations, and industry standards. 3. Vendor Obligations Deliver products or services in line with agreed specifications, quality standards, and timelines. Maintain confidentiality of Company data, customer data, and business operations. Avoid any activity that may harm the reputation or integrity of ExcelWA or Excel Skills Academy. Adhere to ethical business practices, including compliance with anti-bribery, anti-corruption, and data protection laws. 4. Pricing & Payments Pricing must be agreed in writing before delivery of services. Payments will be made as per agreed timelines, subject to satisfactory completion of services. Invoices must be accurate and include applicable taxes (GST, etc.). The Company reserves the right to withhold payments for defective, delayed, or incomplete services. 5. Compliance Vendor must comply with WhatsApp Business Policy, Meta Commerce Guidelines, and applicable IT laws. Vendor must ensure that their products/services do not infringe on third-party rights (copyrights, patents, trademarks). Vendor must comply with all Indian laws, including Information Technology Act, Data Privacy Laws, and Contract Act. 6. Confidentiality Vendor agrees not to disclose or misuse any proprietary or confidential information received from the Company. Confidentiality obligations continue even after termination of this Agreement. 7. Intellectual Property Any intellectual property developed specifically for ExcelWA under Vendor services shall belong to the Company unless otherwise agreed. Vendors may not use Company logos, trademarks, or branding without prior written approval. 8. Warranties & Liability Vendor warrants that all services/deliverables will be free from defects and performed with professional skill. Vendor shall be liable for damages, penalties, or claims resulting from their negligence, fraud, or policy violations. Company’s liability towards Vendor is limited to payment obligations as per agreed contracts. 9. Termination Either party may terminate the agreement with 30 days’ written notice. Company may terminate immediately in cases of fraud, breach of confidentiality, non-compliance with law, or damage to reputation. Upon termination, Vendor must return all Company assets, documents, or data. 10. Indemnity Vendor agrees to indemnify and hold harmless ExcelWA and Excel Skills Academy against any claims, damages, or losses arising from Vendor’s actions, negligence, or policy violations. 11. Governing Law & Jurisdiction These Terms shall be governed by the laws of India. Disputes shall fall under the jurisdiction of courts in Kolkata, West Bengal, India. 12.
